Effective Date: February 27, 2026
This Master Platform Agreement (“Agreement”) is entered into by and between the individual or
entity accessing or using the Versitime platform (“User” or “Business Customer”) and Versitime
LLC (“Versitime” or “Company”).
By accessing or using the Versitime platform, you acknowledge that you have read, understood,
and agree to be bound by these Terms. Electronic acceptance of this Agreement shall have the
same force and effect as a signed written agreement.
AGREEMENT
This Agreement constitutes the entire understanding between the parties and supersedes all prior
communications, whether oral or written.
If any provision of this Agreement is deemed invalid or unenforceable, the remainder shall
remain in full force and effect.
PLATFORM DESCRIPTION
- Versitime operates a time-based appointment search platform that displays real-time availability
from independent third-party service providers.
- Versitime does not provide the underlying services listed on the platform. All services are
provided directly by independent third-party businesses.
- Versitime does not control, supervise, or direct the services provided by independent service
providers.
NO AGENCY RELATIONSHIP
Nothing in this Agreement shall be construed to create any partnership, joint venture, agency, or
employment relationship between Versitime and any service provider or User.
NO GUARANTEE OF SERVICES
Versitime does not guarantee:
Appointment availability accuracy
Service quality
Pricing accuracy
Appointment fulfillment
Provider responsiveness
All service arrangements are solely between the User and the applicable service provider.
ACCEPTABLE USE
Users agree not to:
Use the platform for unlawful purposes
Attempt unauthorized access to systems
Interfere with platform functionality
Submit false or misleading information
Versitime may suspend or terminate access for violations.
BUSINESS CUSTOMER TERMS
Business Customers agree to:
Provide accurate availability information
Maintain required licenses and legal compliance
Honor appointments displayed through the platform
Pay subscription fees as agreed
Versitime does not guarantee bookings, revenue, or performance.
SUBSCRIPTIONS & BILLING
Subscriptions are billed monthly or annually and automatically renew unless canceled prior to
the applicable renewal date.
Versitime reserves the right to modify pricing with reasonable notice.
Failure to remit payment may result in suspension or termination.
CANCELLATION & REFUNDS
Business Customers may cancel their subscription at any time through their account dashboard.
Cancellation will take effect at the end of the current billing cycle and access will continue until
that date. Subscription fees are non-refundable. No partial refunds, credits, or prorated amounts
will be issued for unused portions of a billing period.
If a subscription associated with a promotional or Founding plan is canceled, eligibility for such
promotional pricing may be permanently forfeited as outlined in the applicable subscription plan
terms.
Versitime reserves the right to suspend or terminate subscriptions for non-payment or violation
of these Terms.
THIRD-PARTY INTEGRATIONS
Versitime integrates with third-party booking and payment systems.
Versitime is not responsible for:
Third-party outages
Integration errors
Payment processing failures
Data inaccuracies caused by third-party systems
DISCLAIMER OF WARRANTIES
The Versitime platform is provided on an “as is” and “as available” basis.
Versitime makes no representations or warranties of any kind, express or implied, regarding the
operation of the platform or the information, content, materials, or services available through the
platform.
To the fullest extent permitted by law, Versitime disclaims all warranties, express or implied,
including but not limited to:
Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability of information
Continuous, uninterrupted, or error-free operation
Use of the platform is at the User’s sole risk.
LIMITATION OF LIABILITY
To the maximum extent permitted by law:
Versitime shall not be liable for any indirect, incidental, consequential, special, or punitive
damages arising out of or relating to the use of the platform.
Versitime’s total liability for any claim arising out of or relating to the platform shall not exceed
the subscription fees paid to Versitime in the twelve (12) months preceding the event giving rise
to the claim.
INDEMNIFICATION
User agrees to indemnify, defend, and hold harmless Versitime and its officers, directors,
employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including
attorney’s fees) arising out of or relating to:
Use of the platform
Services provided by third-party businesses
Violation of this Agreement
This indemnification obligation shall survive termination of this Agreement.
DISPUTE RESOLUTION & ARBITRATION
Any dispute arising out of or relating to this Agreement or the use of the platform shall be
resolved exclusively through binding arbitration in the State of Alaska, except that either party
may bring an individual claim in small claims court.
User agrees that:
Arbitration shall be conducted on an individual basis only.
Class actions and class arbitrations are not permitted.
User waives any right to participate in a class action lawsuit or class-wide arbitration.
Judgment on the arbitration award may be entered in any court having jurisdiction. Arbitration
shall be the exclusive method of resolving disputes, except as otherwise expressly provided in
this Agreement.
FORCE MAJEURE
Versitime shall not be liable for any delay or failure in performance due to causes beyond its
reasonable control, including but not limited to:
Internet outages
Third-party failures
Acts of God
Governmental actions
System disruptions
PRIVACY POLICY
Use of the platform is subject to Versitime’s Privacy Policy, which is incorporated herein by
reference.
MODIFICATIONS
Versitime reserves the right to update this Agreement at any time. Continued use of the platform
constitutes acceptance of the revised Agreement.
GOVERNING LAW
This Agreement shall be governed by the laws of the State of Alaska.
